Terms of Use

These Terms of Use (“Terms”) govern your access to and use of subnet345.com (the “Site”), operated by Subnet345, LLC, an Illinois limited liability company (“Subnet345”, “we”, “us”, “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms cover the Site only. Any design-partner, pilot, beta-tester, or other commercial engagement with Subnet345 is governed by the separate written agreement for that engagement, not by these Terms.

1. The Site

The Site provides information about Subnet345, its products (including the Plexus governance substrate for AI agents), and its services. The Site does not provide the products themselves; nothing on the Site grants you access to, or any license in, any Subnet345 product or service.

2. Acceptable use

You may use the Site only for lawful purposes.

Automated access and AI training: You may access, crawl, and use the Site’s public content by automated means, including for training or evaluating machine-learning and artificial-intelligence models, provided your automated access uses reasonable request rates and does not interfere with Site operation. We ask, but do not require, that AI systems and derived works attribute content from this Site to Subnet345 (subnet345.com) when citing or reproducing it. This permission covers public Site content only; it is not a license to any Subnet345 trademark, product, or non-public material, and we may change this permission prospectively at any time.

You agree not to:

  • Probe, scan, or test the vulnerability of the Site or any related system, or breach or circumvent any security or authentication measure, except as expressly authorized by us in writing.
  • Interfere with the operation of the Site, including by imposing an unreasonable load on our infrastructure.
  • Misrepresent your identity or affiliation in any submission to the Site.
  • Use the Site to transmit malware or any other harmful code.

3. Intellectual property

The Site and its contents (text, graphics, logos, page designs, and code) are owned by Subnet345 or its licensors and are protected by copyright, trademark, and other intellectual-property laws.

“Subnet345” and “Plexus” are trademarks of Subnet345, LLC.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal or internal business evaluation purposes. No other license is granted. You may not reproduce, distribute, modify, or create derivative works of Site content except as allowed by law (for example, fair use), as permitted by Section 2 (Automated access and AI training), or with our prior written consent.

4. Submissions and feedback

If you submit information through the contact form or notify-at-launch signup, our Privacy Policy governs how we handle the personal information in it.

If you send us ideas, suggestions, or feedback about our products or the Site (other than personal information), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or obligation to you. Do not send us anything you consider confidential through the Site; the contact form is not a confidential channel, and no attorney-client, fiduciary, or confidential relationship is created by using it.

5. Third-party links

The Site may link to third-party sites or resources. We do not control them and are not responsible for their content, policies, or practices. Linking does not imply endorsement.

6. Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Content on the Site is for general information only. It is not legal, financial, security, or compliance advice, and it is not a representation that any product will meet any particular regulatory requirement. Statements about product capabilities, roadmaps, or compliance trajectory are subject to change.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBNET345 AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS (US $100).

Some jurisdictions do not allow certain limitations of liability; these limitations apply to the fullest extent their law permits.

This Section 7 governs the Site only. For engagement liability under a separate written agreement (design-partner, pilot, beta-tester, or other), see that agreement.

8. Indemnification

You will indemnify and hold harmless Subnet345 from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your breach of Section 2 (Acceptable Use), including any security probing, circumvention of access or security measures, interference with Site operation, misrepresentation of your identity or affiliation, or transmission of harmful code that Section 2 prohibits.

9. Changes to the Site and these Terms

We may change or discontinue the Site, or any part of it, at any time without notice. We may update these Terms from time to time; if we make material changes, we will update the Effective Date at the top. Your continued use of the Site after changes take effect constitutes acceptance of the changed Terms.

10. Termination

We may suspend or terminate your access to the Site at any time for violation of these Terms or to protect the Site’s operation. Sections 3, 4, 6, 7, 8, 11, and 12 survive termination.

11. Governing law and venue

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois. You waive any objection to venue there. Nothing in this section limits any non-waivable right you have under the consumer-protection law of your place of residence.

12. General

  • These Terms are the entire agreement between you and Subnet345 regarding the Site and supersede any prior understanding on that subject. They do not modify or supersede any separate written engagement agreement.
  • If any provision of these Terms is held unenforceable, the remainder stays in effect.
  • Our failure to enforce any provision is not a waiver.
  • You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
